Your use of audiovisual content ("Content") made available on this America's Cup Media Hub is subject to the following terms and conditions ("T&Cs"). By accessing any of the Content, You agree to only use it in accordance with, and subject to, the T&Cs.

1. Parties

1.1"ACIS" means America's Cup Italy Sarl.
1.2"You" and "Your" refers to you and the organisation you represent when accessing the Content.

2. Rights

2.1 You are hereby granted a royalty free license to use the Content as follows and otherwise in accordance with, and subject to, these T&Cs:

  • (a) Use: bona fide news reporting only.
  • (b) Media: all.
  • (c) Territory: worldwide.
  • (d) Duration:
    • (i) Sailing content: max 180 seconds.
    • (ii) Press conference footage: unlimited.

2.2 Assignment and sub-licensing: You may not assign or sub-license the rights granted to You herein other than within Your corporate group for the purposes of using the Content in accordance with these T&Cs.

2.3 Editing: You may edit the Content for use in accordance with these T&Cs. Notwithstanding the foregoing, You shall not delete, obscure or impair any on-site advertising or commercial credits contained within the Content except as is necessary to comply with applicable laws.

2.4 Exploitation Period: You may not make any new use of any Content after 19 February 2026 without the prior written authorisation of ACIS.

2.5 Ownership: As between You and ACIS, you agree that all right, title and interest whatsoever including copyright, throughout the world in the Content shall vest in ACIS for the full term of copyright including all renewals and extensions thereof but reserving to You the licence to deal with said copyright material to the extent required by the exercise of Your rights hereunder. You agree that, to the extent that any such rights vest in You, these T&Cs shall operate as an assignment from You to ACIS of all such rights.

2.6 All rights not expressly granted to You hereunder with respect to the Content are hereby reserved for ACIS.

2.7 The Content shall not be commercialised in any way.

3. Credit

3.1 You shall insert 'Courtesy of America's Cup' over any Content that is transmitted in accordance with these T&Cs.

4. Warranties, Indemnities and Limitations

4.1 You warrant that: (a) You shall use the Content for the purpose of bona fide news reporting only; (b) (subject to applicable law and regulations) You shall ensure that all of Your visual, written and verbal references to America's Cup events refer to the full event title (as specified by ACIS); ...

4.2 ACIS warrants that the use of Content by You strictly in accordance with the terms of these T&Cs shall not infringe the intellectual property rights of any third party.

4.3 You hereby indemnify ACIS against any and all actions, claims, costs (including legal costs properly incurred), damages, demands and expenses brought against, suffered or incurred by ACIS as a result of any breach or non-observance by You of any of Your agreements, undertakings, representations or warranties as set forth in herein.

4.4 Except as expressly set out in this Agreement, all conditions, warranties, terms and undertakings, express or implied, statutory or otherwise in respect of the obligations of ACIS under these T&Cs are excluded.

4.5 To the extent permitted by applicable law, neither party shall be liable to the other for any type of indirect, special, or consequential loss.

5. Term and Termination

5.1 The licence granted to You herein shall commence on the date You first access any of the Content and shall continue in force until 19 February 2026 ("Term"), unless terminated earlier in accordance with its terms.

5.2 ACIS may terminate licence granted to You herein immediately by giving written notice to You at any time during the Term.

5.3 Upon termination or expiry of the Term, the grant of the licence in clause 1 above shall automatically terminate.

6. General

6.1 These T&Cs contain the entire agreement between ACIS and You with respect to the Content and supersedes all prior agreements ...

6.2 Each party agrees to keep confidential and not to disclose to any third party, save as required by law: (i) the terms of these T&Cs; and (ii) any confidential information that is received from the other party in connection with these T&Cs.

6.3 This Agreement is to be governed by, and interpreted in accordance with, the laws of Italy and any disputes arising in relation to it (whether contractual or non-contractual) will be subject to the exclusive jurisdiction of the courts of Italy.
